8. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to the following shall be resolved through binding arbitration in accordance with this Section 8:

  • your access to or use of the Services;
  • any Output;
  • these Terms, including any prior versions;
  • any aspect of your relationship with KAZE AI.

You and Kaze AI agree to bring claims against each other only on an individual basis, and not as part of any class, representative, or collective action.

This means:

  • no class arbitrations;
  • no class actions;
  • no representative actions;
  • no private attorney general actions.

You and KAZE AI waive any constitutional and statutory right to sue in court and have a trial before a judge or jury.

8.1 Informal Dispute Resolution

Before commencing arbitration, you and Kaze AI agree to first attempt to resolve any dispute informally. Either party may start this process by sending a written notice of the dispute to the other party. Notices to KAZE AI should be sent to legal@kaze.ai.

The parties shall negotiate in good faith for at least 30 days from the date of receipt of such notice. If the dispute is not resolved within that period, either party may commence arbitration.

8.2 Arbitration Rules and Forum

The arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by these Terms, before a single arbitrator.

  • The arbitration shall be conducted in English.
  • The arbitration may proceed by video conference.
  • Any in-person hearing shall be held in the county where you reside, or at another location mutually agreed upon by the parties.

Payment of filing, administration, and arbitrator fees shall be governed by the AAA rules. The arbitrator shall have exclusive authority to resolve any dispute regarding the interpretation, applicability, or enforceability of this arbitration agreement. Judgment on the award may be entered in any court of competent jurisdiction.

8.3 Mass Filings

If 25 or more similar arbitration demands are filed by, or with the assistance of, the same counsel or organization, the AAA's Multiple Consumer Case Filing Procedures shall apply. The parties shall cooperate in good faith in a staged (bellwether) process to resolve the demands efficiently.

8.4 Severability, Survival, and Time Limit

If the class action waiver is found to be unenforceable as to a particular claim, that claim, and only that claim, shall proceed in court, and the remainder of this Section 8 shall continue to apply to all other claims.

This Section 8 shall survive the termination of these Terms. Any claim must be filed within one year after it accrues, unless a longer period is required by applicable law.

8.5 Right to Opt Out of Arbitration

You have the right to opt out of this arbitration agreement by sending written notice to legal@kaze.ai within 30 days of first accepting these Terms. The notice must include your name and account email address. Opting out of this arbitration agreement shall not affect any other part of these Terms.

You consent to receive communications from us electronically, including:

  • email messages;
  • posted notices on the Services;
  • in-app notifications.

You agree that all electronic communications satisfy any legal requirement for written communications.

You may not assign, transfer, or delegate these Terms or your rights and obligations without our prior written consent. We may freely assign these Terms without your consent. Any attempted transfer in violation of this section is null and void.

9.4 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and KAZE AI regarding the Services and supersede all prior agreements and understandings.

9.5 Severability

If any provision of these Terms is found invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

9.6 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized KAZE AI representative.

9.7 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights except as expressly stated.

9.8 Relationship of Parties

These Terms do not create any agency, partnership, joint venture, employment, or franchisee relationship between you and KAZE AI.

9.9 Users Outside the U.S.

The Services are controlled and operated from the United States. If you access the Services from outside the U.S., you do so at your own risk and are responsible for compliance with local laws.
